These Terms of Service ("Terms," "Agreement") constitute a binding legal agreement between you and FixUrb Global Inc. By using the Platform, you agree to these Terms.

0. Definitions

For the purposes of these Terms:

  1. "Customer" means an individual or business seeking to obtain services through the Platform.
  2. "Provider" or "Subcontractor" means an independent contractor who offers services through the Platform.
  3. "Services" means the home or business-related tasks performed by Providers.
  4. "Platform" means FixUrb’s website, mobile applications, and related technology systems.

1. Description of Services & Role of FixUrb

FixUrb operates as a technology platform that connects individuals and businesses seeking home services ("Customers") with independent, third-party service providers ("Providers"). FixUrb may offer branded services but fulfillment is always by independent Providers.

  1. FixUrb is a Technology Platform: We do not directly perform services but connect Customers and Providers.
  2. Independent Contractors: Providers are not employees of FixUrb.
  3. No Guarantees: FixUrb does not guarantee quality, safety, or suitability of services.
  4. Subcontracting Model: Bookings are subcontracted to independent Providers in our network.

2. Account Registration and Eligibility

Registration Requirements:

  1. You must be at least 18 years old and legally capable of entering into binding contracts.
  2. You must register an account and provide accurate, complete, and current information.
  3. You must verify your identity and contact information as requested.
  4. Business users must provide valid business registration and tax information.

Account Responsibilities:

  1. You are responsible for maintaining the confidentiality and security of your account credentials.
  2. You are fully responsible for all activities that occur under your account.
  3. You must promptly notify FixUrb of any unauthorized use of your account or security breaches.
  4. You must keep your account information current and accurate.

Account Verification:

  1. FixUrb may require identity verification, background checks, or additional documentation.
  2. Providers may be required to submit proof of licensing, insurance, and professional qualifications.
  3. FixUrb reserves the right to verify any information provided during registration.

3. User Conduct and Prohibited Activities

General Conduct Requirements:

  1. Use the Platform in compliance with all applicable laws and regulations.
  2. Provide truthful, accurate, and complete information in all interactions.
  3. Treat other users with respect and professionalism.
  4. Use the Platform's communication and payment systems for all transactions.

Prohibited Activities: You are strictly prohibited from:

  1. Assisting, encouraging, or enabling others to violate these Terms.
  2. Impersonating any individual, entity, or FixUrb staff members.
  3. Using the Platform to harass, intimidate, threaten, or bully other users.
  4. Uploading, sharing, or distributing illegal, harmful, defamatory, or inappropriate content.
  5. Infringing upon intellectual property rights, including copyrights, trademarks, or trade secrets.
  6. Using automated methods to access, copy, or extract data from the Platform without authorization.
  7. Collecting, sharing, or distributing personal information of other users without consent.
  8. Manipulating search results, posting fake reviews, or engaging in review manipulation.
  9. Distributing spam, unsolicited advertisements, or malicious software.
  10. Attempting to gain unauthorized access to the Platform or other users' accounts.
  11. Engaging in fraudulent activities, money laundering, or illegal financial transactions.
  12. Soliciting or processing off-platform payments for services obtained through FixUrb.
  13. Reverse engineering, modifying, or creating derivative works of the Platform.

Content Restrictions: Content uploaded to the Platform must not:

  1. Violate any laws or regulations.
  2. Promote discrimination, hatred, violence, or harm against any person or group.
  3. Contain obscene, pornographic, or objectionable material.
  4. Threaten or exploit minors in any way.
  5. Encourage illegal, fraudulent, or unethical behavior.
  6. Misrepresent services, qualifications, or pricing information.

4. Customer Responsibilities and Obligations

Service Request Requirements:

  1. Provide accurate, detailed, and complete descriptions of required services.
  2. Specify any special requirements, safety considerations, or access limitations.
  3. Be available for communication and provide reasonable access to the service location.
  4. Review and verify Provider credentials, insurance, and qualifications before hiring.

Payment Obligations:

  1. Use only FixUrb's approved payment methods for all transactions.
  2. Pay all fees, including service fees and applicable taxes.
  3. Honor accepted quotes and service agreements.
  4. Report payment disputes promptly through the Platform.

Communication Requirements:

  1. Use the Platform's messaging system for all initial communications with Providers.
  2. Respond to Provider inquiries in a timely manner.
  3. Provide necessary information for service delivery.
  4. Report any issues or concerns immediately to FixUrb.

5. Provider (Subcontractor) Responsibilities

Professional Requirements:

  1. Maintain all required licenses, permits, certifications, and professional qualifications for the services they offer.
  2. Carry adequate insurance coverage, including Commercial General Liability insurance, as required by law and industry standards.
  3. Comply with all applicable health, safety, labor, and building codes.
  4. Maintain current tax registration and remit all applicable taxes as an independent business.
  5. Provide services in a professional, competent, and workmanlike manner.

Platform Obligations:

  1. Create accurate and detailed service listings and profiles.
  2. Submit binding quotes and honor accepted proposals.
  3. Complete all work according to industry standards and customer agreements.
  4. Maintain professional communication with customers.
  5. Process all payments through FixUrb's approved systems.

6. Reviews, Ratings, and User-Generated Content

Content License: By submitting any content to the Platform, including reviews, photos, messages, or service descriptions, you grant FixUrb a perpetual, worldwide, royalty-free, transferable license to use, reproduce, modify, distribute, display, and create derivative works from such content.

Review Guidelines:

  1. Reviews must be honest, fair, and based on actual experiences.
  2. Reviews must not contain profanity, personal attacks, or discriminatory language.
  3. Incentivized, fake, or fraudulent reviews are strictly prohibited.
  4. FixUrb reserves the right to verify review authenticity before publication.

Content Moderation: FixUrb may, at its sole discretion:

  1. Remove, edit, or moderate any user-generated content.
  2. Verify the authenticity of reviews and ratings.
  3. Take action against users who violate content guidelines.
  4. Use automated and manual systems to detect inappropriate content.

7. Payments, Fees, and Financial Terms

Payment Processing:

  1. All transactions must be processed through FixUrb's approved payment partners.
  2. FixUrb acts as a payment facilitator and may hold funds in escrow.
  3. Payment methods include credit cards, debit cards, and bank transfers as available.
  4. Currency conversion fees may apply for international transactions.

Fee Structure:

  1. Service fees and commissions are clearly displayed before transaction completion.
  2. Fees are generally non-refundable except as specified in our refund policy.
  3. FixUrb reserves the right to modify fee structures with 30 days' notice.
  4. Additional fees may apply for premium features, expedited services, or dispute resolution.

Refund Policy:

  1. Service fees paid to FixUrb are generally non-refundable once a Provider has been matched and begins work.
  2. Refunds may be considered at FixUrb's sole discretion in cases of:
    1. Provider no-show without valid reason.
    2. Significant service quality issues verified by FixUrb.
    3. Technical errors in payment processing.
    4. Fraudulent activity or Platform misuse.
  3. Refund requests must be submitted within 4 hours of service completion.
  4. Refunds, if approved, will be processed within 5-10 business days to the original payment method.
  5. FixUrb reserves the right to request documentation and verification before processing any refunds.

8. Privacy and Data Protection

Information Collection: FixUrb collects, uses, and protects your personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

Communication Consent: By using the Platform, you agree to receive communications from FixUrb and other users through:

  1. Email notifications and marketing messages.
  2. SMS text messages and push notifications.
  3. Phone calls for customer service and verification.
  4. In-platform messaging and notifications.

You acknowledge that some communications may use automated systems and that carrier charges may apply.

9. Intellectual Property Rights

FixUrb's Rights: The Platform and all content, features, functionality, logos, trademarks, software, and other materials are owned by FixUrb and are protected by copyright, trademark, and other intellectual property laws.

User Rights and Restrictions:

  1. You may not copy, modify, distribute, or create derivative works from Platform content without written permission.
  2. You may not remove or alter copyright, trademark, or proprietary notices.
  3. A limited license is granted for personal, non-commercial use of the Platform.
  4. Any unauthorized use may result in termination and legal action.

10. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or applications ("Third-Party Services"). These links are provided for convenience only and do not constitute endorsement by FixUrb.

Third-Party Disclaimers:

  1. FixUrb is not responsible for third-party content, services, or privacy practices.
  2. Third-party transactions are subject to separate terms and conditions.
  3. FixUrb will not mediate disputes between users and third parties.
  4. Users access third-party services at their own risk.

11. Disclaimers and Limitation of Liability

Platform Provided "As Is": YOU ACKNOWLEDGE THAT USE OF THE PLATFORM IS AT YOUR OWN RISK. FIXURB PROVIDES THE PLATFORM "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Liability for Provider Services: FixUrb is not a party to the agreements entered into between Customers and Providers. We are not liable for any acts, omissions, errors, negligence, or misconduct of any Providers. Any legal claim arising from a service provided by a Provider must be brought directly against that Provider. You agree to release FixUrb from any claims, damages, or liabilities arising from the services performed by Providers.

Liability Limitations:

  1. IN NO EVENT SHALL FIXURB'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE GREATER OF $100 CAD OR THE AMOUNT OF FEES PAID BY YOU TO FIXURB IN THE PRECEDING SIX (6) MONTHS.
  2. FixUrb is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data.
  3. FixUrb is not responsible for damages or losses arising from your interactions with other users, including property damage, bodily injury, or theft.

Force Majeure: FixUrb is not liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or technical failures.

12. Indemnification

You agree to indemnify, defend, and hold harmless FixUrb, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney fees) arising from or related to:

  1. Your use of the Platform or services obtained through it.
  2. Your violation of these Terms or applicable laws.
  3. Your content or conduct on the Platform.
  4. The services performed by a Provider you hire (if you are a Customer) or that you perform (if you are a Provider).
  5. Any disputes with other users or third parties.

13. Account Termination and Suspension

FixUrb's Termination Rights: FixUrb may suspend or terminate your account immediately, with or without notice, for:

  1. Violation of these Terms or Platform policies.
  2. Fraudulent, illegal, or harmful activity.
  3. Failure to pay fees or charges.
  4. Damage to Platform integrity or user safety.
  5. Extended inactivity or abandonment.

User Termination Rights:

  1. You may close your account at any time through account settings.
  2. Account closure does not relieve you of outstanding obligations.
  3. Certain provisions of these Terms survive account termination.

Effect of Termination:

  1. Access to the Platform will be immediately revoked.
  2. Outstanding financial obligations remain due and payable.
  3. User-generated content may be retained for legal and operational purposes.
  4. Refunds, if any, will be processed according to our refund policy.

14. Modifications and Updates

Terms Updates: FixUrb reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform, unless otherwise specified. Your continued use of the Platform after modifications constitutes acceptance of the updated Terms.

Platform Changes: FixUrb may update, modify, suspend, or discontinue any aspect of the Platform at any time without prior notice. We are not liable for any consequences of such changes.

Notice of Changes:

  1. Material changes will be communicated via email or Platform notification.
  2. Users are encouraged to review Terms regularly.
  3. Continued use after changes indicates acceptance.

15. Arbitration and Dispute Resolution

Binding Arbitration: Any dispute, claim, or controversy arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in Ontario, Canada, under the Arbitration Rules of Ontario.

Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, COLLECTIVE ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.

Arbitration Process:

  1. Arbitration will be conducted by a single arbitrator.
  2. Each party typically bears its own costs unless the arbitrator decides otherwise.
  3. Arbitrator decisions are final and binding on all parties.
  4. Users may file individual claims in small claims court if within jurisdiction.

Exceptions: FixUrb retains the right to seek injunctive relief or pursue legal action in courts of competent jurisdiction for violations involving intellectual property, confidentiality, or platform security.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of Ontario, Canada, and applicable federal laws. For Québec residents, these Terms shall be governed by the laws of Québec. Mandatory consumer protection laws of your province of residence apply, and where there is a conflict, such mandatory laws prevail.

17. Severability and Entire Agreement

Severability: If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement: These Terms, together with our Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and FixUrb regarding use of the Platform and supersede all prior agreements or understandings.
